Terms & Conditions

Does anyone have a good solution to the wording of T&C's that can help avoid a Battle of the Forms. Looking to agree new terms with a long term supplier and aside from everything else, it's the classic 'who's terms apply' that's the sticky bit! Any thoughts appreciated. Thanks.
